Agreement for the Engagement and Provision of Services (Summary)
When you engage with Cedar Stone Recruitment Limited (“the Employment Business”), these are the key terms that apply to all assignments.

1. Basis of Engagement
We engage contractors through their own limited company or via an umbrella company. Our relationship is always a contract for services, not employment.
Each role will be confirmed in an Assignment Schedule covering:
- Client details, role, and location.
- Start/end dates and notice period.
- Fee rates, payment terms, and IR35/off-payroll status.
2. Contractor Responsibilities
By working with us, you agree to:
- Maintain valid right-to-work status in the UK.
- Ensure you have the skills, qualifications and authorisations required.
- Arrange and maintain appropriate insurance (Professional Indemnity, Public Liability and Employers’ Liability, if required).
- Submit accurate timesheets and invoices on time.
- Be responsible for your own taxes, NICs and statutory deductions (unless Inside IR35, in which case deductions will be made at source via Umbrella Company).
- Comply with client site rules, health & safety, anti-bribery, confidentiality, and professional conduct standards.
3. Compliance
- IR35 / Off-Payroll: Status will be confirmed in your Assignment Schedule. If Inside IR35, deductions will be applied by the umbrella company.
- Agency Workers Regulations (AWR): Where applicable, you may be entitled to equal treatment rights after the qualifying period.
- Conduct Regulations: You may choose to opt out in writing (except where prohibited).
- Data Protection: We comply with UK GDPR and the Data Protection Act 2018. Your personal data will only be used lawfully in connection with assignments.
4. Non-Solicitation
To protect our business relationships:
- You must not, during an assignment and for 12 months afterwards:
- Work directly with a client we introduce you to (or any of their group/associated companies), except through us.
- Refer, recommend, or introduce a client we have introduced to you to another contractor, consultancy, or third party.
- Any breach may result in termination of your assignment and us recovering lost fees.
5. Intellectual Property & Confidentiality
- Any work you produce for a client belongs to that client.
- You must keep all client and our information confidential, both during and after assignments.
6. Termination
- Assignments may be ended by either party in line with the notice period stated in the Assignment Schedule.
- We or the client may terminate immediately in cases of misconduct, breach, insolvency, incapacity, or client instruction.
7. Payments
- Client approval of electronic timesheets is required for invoicing.
- Fees are paid according to your Assignment Schedule.
- No fees are payable for holidays, sickness, or downtime, unless expressly agreed.
- Expenses are only reimbursed if pre-approved in writing and stated as applicable in your Assignment Schedule.
8. Liability & Indemnity
- You are responsible for the quality of your services and must rectify any issues at your own cost.
- You agree to indemnify us and our clients against losses, claims, or liabilities arising from your work, breach of contract, or conduct.
